Welcome to GroDefri ("GroDefri," "we," "our," or "us"), operated by Facets Novum, LLC d/b/a GroDefri. By accessing or using our website at https://growdebtfree.com (the "Website"), the GroDefri mobile or web applications (collectively, the "App"), or any other service we provide (together, the "Services"), or by creating an account, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

These Terms incorporate by reference our Privacy Policy (https://growdebtfree.com/privacy).

1. Important: Not Financial Advice

GroDefri is an educational and organizational tool to help you understand your money, plan debt payoff, budget, and build helpful habits over a 30-day program and beyond. It does not provide financial, investment, tax, legal, or accounting advice, and it is not a financial advisor, broker, lender, credit counselor, or debt-settlement service.

• The content, calculations, projected "debt-free" dates, suggestions, and any AI-assisted output are general information and estimates for your own planning. They are not a recommendation to take or refrain from any financial action.
• Estimates depend on the accuracy of the information you enter and on assumptions that may not match your situation. Real outcomes vary.
• You are solely responsible for your financial decisions. For advice specific to your circumstances, consult a qualified professional.

2. Definitions

• "User" or "you" means anyone who accesses or uses the Services.
• "Account" means a GroDefri account you create to sync your data across devices.
• "Guest Mode" means using the App without an Account, with your data stored only on your device.
• "Subscription" means a recurring paid plan that unlocks certain ongoing features, purchased through the web companion as described in Section 6.

3. Acceptance and Eligibility

By using the Services, you confirm that you are at least 18 years old and that you will use the Services in accordance with applicable law. The Services are intended for personal, non-commercial use in managing your own finances.

4. Modification of Terms

We may update these Terms from time to time. Material changes will be communicated through the Website, the App, or by email to the Account holder. Your continued use of the Services after changes take effect constitutes acceptance. The "Effective Date" and "Last Updated" dates above reflect the current version.

5. Accounts and Access

5.1 Guest Mode and Accounts

You can use the core App in Guest Mode without an Account; your data stays on your device. Creating an Account (via email, Google, or Apple sign-in) lets us sync your data across your devices. You are responsible for keeping your credentials secure and for activity under your Account.

5.2 Your data

You own the information you enter. We process it to provide the Services as described in the Privacy Policy. You can export your data and delete your Account at any time from within the App (Settings) or by contacting support@growdebtfree.com.

5.3 Suspension and termination

We may suspend or terminate access if you violate these Terms or applicable law, or to protect the Services or other users. You may stop using the Services at any time.

6. Subscription Terms

The core 30-day program is available in the App. Certain ongoing or enhanced features are offered through a paid Subscription.

6.1 Where subscriptions are sold

Subscriptions are purchased and managed on the web companion at https://app.growdebtfree.com, billed through our payment processor, Stripe. They are not sold through in-app purchase on the mobile App. Where the App is distributed through a platform store (Apple App Store, Google Play), that store's terms also apply to your use of the App.

6.2 Billing and renewal

Subscriptions are offered on a monthly or annual basis, at the price shown at checkout. Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. The renewal charge is billed to your payment method on file via Stripe. Applicable taxes may be added.

6.3 Cancellation and refunds

You may cancel at any time through the subscription-management screen on https://app.growdebtfree.com or by contacting support@growdebtfree.com. Cancellation takes effect at the end of the current billing cycle; access to paid features continues until then. Except where required by law, payments are non-refundable and we do not provide pro-rata refunds for partial cycles.

6.4 Changes to plans and pricing

We may change Subscription features or pricing. We will give notice of material changes, and price changes apply to the next billing cycle after notice. If you do not agree, you may cancel before the change takes effect.

6.5 Your data is never held hostage

Whether or not you have an active Subscription, you can always view, export, and delete the information you have entered. We will not lock you out of your own data because a Subscription has lapsed.

7. AI-Assisted Features

7.1 AI is a tool, not advice

The App may include optional AI-assisted features, such as interpreting plain-text spending entries into categories. These features are conveniences to speed up data entry. They are not financial advice and may be inaccurate or incomplete.

7.2 How it works

If you use the optional smart spending entry feature, the short text you enter is sent to our AI provider (Anthropic) to interpret it, without your name, email, or Account identifier. We do not use your data to train AI models. See the Privacy Policy for details. We may change providers and will update the Privacy Policy accordingly. You are responsible for reviewing and correcting any AI-suggested entry before relying on it.

8. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, scrape, or interfere with the Services or underlying systems, except to the extent that restriction is prohibited by law.
• Use the Services to send spam, malware, or unlawful content, or to harass, defraud, or harm any person.
• Impersonate another person or misrepresent your identity.
• Resell, redistribute, or commercially exploit the Services without our prior written consent.
• Use the Services in violation of any applicable law.

9. Intellectual Property

The Services, including all software, content, designs, logos, graphics, the "GroDefri" name and program materials, and trademarks, are the property of Facets Novum, LLC or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended personal purpose. You retain ownership of the information you create through the Services and grant us a limited license to process it as needed to provide the Services, as described in the Privacy Policy. Unauthorized reproduction, distribution, modification, or reverse engineering is prohibited.

10. Third-Party Services

The Services rely on the third-party providers listed in the Privacy Policy (for example Google Firebase, Stripe, Vercel, and Anthropic). We are not responsible for the content, availability, or practices of third-party services beyond our agreements with them. Review each provider's terms where relevant.

11. Disclaimers

11.1 No professional advice

As stated in Section 1, the Services do not provide financial, investment, tax, legal, or accounting advice. Any output, including projected debt-free dates and AI-assisted suggestions, is general information for your own planning.

11.2 "As is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONTENT (INCLUDING CALCULATIONS OR AI-GENERATED CONTENT) WILL BE ACCURATE OR RELIABLE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FACETS NOVUM, LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limitations apply regardless of the legal theory on which the claim is based.

13. Indemnification

You agree to indemnify, defend, and hold harmless Facets Novum, LLC and its affiliates, officers, employees, agents, and licensors from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any third-party right, your violation of applicable law, or any content you submit through the Services.

14. Termination

We may suspend or terminate your access for violation of these Terms or applicable law. Sections that by their nature should survive termination will survive, including Sections 1 (Not Financial Advice), 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and 16 (Dispute Resolution). Data-handling on termination is described in the Privacy Policy.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.

16. Dispute Resolution

The parties will first attempt to resolve any dispute through good-faith negotiation. If that fails, the dispute will be submitted to mediation in the State of Georgia, and if mediation does not resolve it within sixty (60) days, to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, taking place in the State of Georgia or, at your election, your home jurisdiction where required by law. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court to protect intellectual property or confidential information. Nothing in this section prevents you from bringing an individual claim in small-claims court. (Counsel to confirm consumer-arbitration and any class-action-waiver language for enforceability in the user's state.)

17. Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, war, civil disturbance, pandemic, governmental action, internet or telecommunications outage, denial-of-service attack, fire, flood, or earthquake.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be replaced with a valid one that most closely approximates the original intent.

19. Entire Agreement

These Terms, together with the Privacy Policy and any plan or order documents, constitute the entire agreement between you and GroDefri regarding the Services and supersede any prior agreement on the same subject.
